1. Acceptance of Terms

All prices are displayed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, shipping, or handling charges unless otherwise stated. You are responsible for all applicable taxes.

3.4 Order Confirmation

You will receive an order confirmation email after your purchase is complete. This confirmation does not constitute our acceptance of your order; it is merely confirmation that we have received it. We reserve the right to cancel any order after confirmation has been sent.

Veaux Cozier and all related logos, product names, and service names are trademarks of Cozy Creatives LLC. You may not use these trademarks without our prior written permission.

6. Product Descriptions and Pricing

However, we do not warrant that product descriptions, images, pricing, or other content is accurate, complete, reliable, current, or error-free. Product images are for illustrative purposes and may not reflect the exact appearance of the product.

6.2 Pricing Errors

In the event of a pricing error, we reserve the right to cancel any orders placed for products listed at the incorrect price, even after an order confirmation has been sent. If your order is canceled, we will notify you and provide a full refund.

6.3 Product Availability

All products are subject to availability. We reserve the right to discontinue any product at any time without notice. If a product becomes unavailable after you place an order, we will notify you and offer a refund or substitute product.

7. Shipping and Delivery

Risk of loss and title for products purchased pass to you upon delivery to the shipping carrier. You are responsible for filing any claims with the carrier for damaged or lost shipments.

8. Returns and Refunds

9.2 No Warranty

WE DO NOT WARRANT THAT:

The Services will be uninterrupted, secure, or error-free
The results obtained from using the Services will be accurate or reliable
The quality of any products, services, information, or other material obtained through the Services will meet your expectations
Any errors in the Services will be corrected

9.3 Product Quality

While we strive to offer high-quality luxury products, we make no warranties regarding the quality, durability, or performance of any products beyond any manufacturer's warranty that may apply.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COZY CREATIVES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of or inability to access or use the Services
Any conduct or content of any third party on the Services
Any content obtained from the Services
Unauthorized access, use, or alteration of your transmissions or content

10.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10.3 Basis of the Bargain

The limitations of liability set forth in this section reflect the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

10.4 State Law Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cozy Creatives LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use of the Services
Your violation of any rights of another party
Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@veauxcozier.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or we may bring a formal proceeding.

12.2 Binding Arbitration

You and Cozy Creatives LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

12.3 Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes. The arbitration will be conducted in the English language.

12.4 Class Action Waiver

YOU AND COZY CREATIVES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.5 Arbitration Location

The arbitration will take place in the county where you reside or another mutually agreed location. For disputes involving less than $10,000, the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary.

12.6 Arbitration Fees

Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. If the arbitrator finds that you cannot afford to pay the AAA's filing, administrative, hearing, and/or other fees and cannot obtain a waiver from the AAA, we will pay them for you.

12.7 Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice of your decision to opt out to info@veauxcozier.com. Your notice must include your name, address, and a clear statement that you want to opt out of this arbitration agreement.

13. Governing Law

13.1 Applicable Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law provisions.

13.2 Jurisdiction

Subject to the arbitration provisions above, you agree that any legal action or proceeding between you and Cozy Creatives LLC shall be brought exclusively in the federal or state courts located in [COUNTY], [STATE], and you irrevocably consent to the personal jurisdiction and venue of such courts.

13.3 International Users

If you are accessing the Services from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Cozy Creatives LLC concerning the Services and supersede all prior agreements and understandings.

14.2 Waiver and Severability

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.

14.3 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

14.4 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.5 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.6 Electronic Communications

By using the Services, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

14.7 Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Cozy Creatives LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.

14.8 Payment Processing

All payment processing services are provided by Stripe, Inc. ("Stripe"). By using our Services, you agree to be bound by Stripe's Services Agreement, available at https://stripe.com/legal. We are not responsible for any issues arising from Stripe's payment processing services.

14.9 Modifications to Services

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

14.10 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

14.11 Language

These Terms are written in English. To the extent any translated version conflicts with the English version, the English version controls.
